Terms of Use & License Agreement
The short version
- You own what you make. Every design, layout, plugin UI, filmstrip, and exported file you create with the Suite is yours, with full commercial rights — sell it, license it, use it in client work.
- Free to download and design with — a one-time Pro purchase unlocks exporting. Either way the software is licensed to you, not sold, and it stays ours.
- Built-in content stays with the app. You can use our templates, presets, and material looks inside your own designs, but you can't extract and resell them as standalone assets or template packs.
- What you bring in is your responsibility. Images, fonts, and code you import or export must be things you have the right to use.
This summary is for convenience only. The full terms below are what govern your use.
By creating an account, downloading, purchasing, or using the Rox Designer Suite (the "Suite," "App," or "Software"), you agree to these Terms. If you are using the Suite on behalf of a company, you confirm you have authority to accept these Terms for that company. If you do not agree, do not use the Suite.
1.Definitions
"Suite" means the Rox Designer Suite software applications (including the Knob, Slider, Button, and Panel designers, the Toolkit, and the Studio design canvas), together with any updates, and the associated website and services.
"Your Assets" means the designs, layouts, artwork, graphics, filmstrips, images, and exported files and code that you create using the Suite.
"Bundled Content" means the templates, layout grids, presets, material "looks," sample/demo assets, icons, and any other creative content that we provide within the Suite.
"Exported Output" means files or code the Suite produces for you to use elsewhere (for example, exported PNGs, filmstrips, SVG/vector output, and generated interface code).
2.License to Use the Software
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to install and use the Suite for your own personal or business design work. The Suite is offered in two tiers:
- Free version. You may download the Suite at no charge and use it to design and experiment. Export features — saving, downloading, or generating output files and code — are locked in the free version.
- Pro license. A one-time purchase unlocks export features for your account on a perpetual basis, for as long as these Terms are in effect and not terminated for breach. The Pro license is tied to your account and is for your use only.
An account is required to use paid features so that we can verify your Pro purchase by the email associated with it. Keep your account credentials secure; you are responsible for activity under your account.
You may not:
- copy, resell, rent, lease, sublicense, or redistribute the Suite itself;
- reverse engineer, decompile, or attempt to extract the source code, except where that restriction is prohibited by law;
- share, sell, or transfer your account or login credentials, or let others use your Pro license as their own;
- circumvent, disable, or work around the export locks or license checks in the free version;
- remove or alter any proprietary notices; or
- use the Suite to build or train a competing product, or to create a service that resells access to the Suite's functionality.
We own the Suite and all intellectual property rights in it. These Terms grant you a license only — no ownership of the Software passes to you.
3.Ownership of Your Assets
You own Your Assets. We claim no ownership over the designs and Exported Output you create with the Suite. As between you and us, all rights in Your Assets belong to you.
You are granted a perpetual, worldwide, royalty-free right to use, reproduce, modify, distribute, sell, and license Your Assets for any lawful purpose, including commercial use — such as selling plugin interfaces, distributing flyers and artwork, and delivering work to your own clients. No attribution to Rox is required, and no per-use or resale fee is owed to us.
This ownership does not depend on your license status: assets you have already exported remain yours to use, even if your access to the Suite later ends.
4.License to Bundled Content
The Suite includes Bundled Content to help you work faster. We grant you a non-exclusive, worldwide license to use Bundled Content as part of Your Assets — for example, starting a design from one of our templates or applying a built-in material look — and to distribute and sell the finished designs that result.
You may not:
- redistribute, resell, sublicense, or give away Bundled Content on its own, in substantially unmodified form, or in a way that reproduces its core creative value as a standalone asset;
- include Bundled Content in a template pack, asset library, preset collection, or similar product where the content itself (rather than your finished design) is what is being offered; or
- represent Bundled Content as your own original creation for licensing to others.
In short: use our building blocks to make your work and sell that work freely — just don't resell the building blocks themselves.
5.Content You Bring In & Third-Party Components
The Suite lets you import your own material (such as images to vectorize) and export output for use in other tools and frameworks. You are solely responsible for ensuring you have all necessary rights to any content you import, and for complying with the licenses of any third-party components involved in your workflow.
This includes, without limitation:
- Fonts. Fonts may carry their own licenses that restrict embedding, redistribution, or commercial use. You are responsible for licensing any fonts used in or exported with Your Assets.
- Imported images and artwork. You must own or be licensed to use any image you upload, trace, or incorporate.
- Generated interface code and audio-plugin frameworks. Interface code the Suite exports is intended for use with third-party frameworks that have their own licensing terms. You are responsible for complying with the license of any such framework you build on or distribute with.
Rox is not responsible for third-party licenses and makes no representation that your intended use of imported or exported material is permitted by those third parties.
6.Acceptable Use
You agree not to use the Suite to create, store, or distribute material that is unlawful, infringing, defamatory, or that violates the rights of others, and not to use the Suite in any way that violates applicable law. We may suspend or terminate access for violations of this section.
7.Purchase & Refunds
The Suite is free to download and use in the free version. The Pro license is a one-time purchase — not a recurring subscription — that unlocks export features for your account on a perpetual basis. The price and what is included are those shown at the time of purchase. Because the Pro license is verified against the email on your account, you must have an account and a valid purchase under that email to use paid features.
Refund policy: we offer a 14-day money-back guarantee from the date of your Pro purchase. If you're not satisfied, contact us within 14 days for a full refund of that purchase. Some jurisdictions grant additional statutory refund or cancellation rights that apply regardless of this policy.
8.Updates & Availability
We may update, change, or discontinue features of the Suite over time. We aim to keep the service available but do not guarantee uninterrupted or error-free operation.
9.Disclaimer of Warranties
The Suite and all Bundled Content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Suite will meet your requirements, be uninterrupted, secure, or error-free, or that any Exported Output will be compatible with a given third-party tool. You use the Suite at your own risk.
10.Limitation of Liability
To the maximum extent permitted by law, Rox and Rox Creative Group Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or related to your use of the Suite, even if advised of the possibility of such damages. Our total aggregate liability for any claim relating to the Suite will not exceed the amount you paid us for the Suite in the twelve (12) months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11.Indemnification
You agree to indemnify and hold harmless Rox and Rox Creative Group Inc. from any claims, damages, and expenses (including reasonable legal fees) arising from Your Assets, content you import or export, your breach of these Terms, or your violation of any law or third-party right.
12.Termination
You may stop using the Suite at any time. We may suspend or terminate your license and access if you breach these Terms — including by circumventing the export locks or misusing your Pro license. On termination, your license to use the Software and Bundled Content ends — but Your Assets that you have already exported remain yours, consistent with Section 3.
13.Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where changes are material, provide reasonable notice. Your continued use of the Suite after changes take effect means you accept the revised Terms.
14.Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. Any disputes will be handled in the state or federal courts located in California, unless applicable consumer-protection law requires otherwise.
